1 Introduction and Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and Nook ("Nook," "we," "us," or "our") governing your access to and use of the Nook mobile application, website, and related services (collectively, the "Service"). By downloading, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.
1.1 These Terms apply to all users of the Service worldwide, regardless of the device or platform used to access it.
1.2 Our Privacy Policy, available within the app and on our website, is incorporated into these Terms by reference and describes how we collect, use, and protect your information.
1.3 If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2 Eligibility and Age Requirements
Nook is intended exclusively for adult users.
2.1 You must be at least 18 years of age to create an account or use any part of the Service. By using Nook, you represent and warrant that you meet this age requirement.
2.2 We may request proof of age or identity verification at our discretion, and we reserve the right to suspend or terminate accounts that we reasonably believe belong to users under the age of 18.
2.3 You must not use the Service if you are prohibited from doing so under the laws of your country of residence or any other applicable jurisdiction.
3 Account Registration and Security
To access most features of the Service, you must create an account.
3.1 You agree to provide accurate, current, and complete information during registration and to keep your account information updated.
3.2 You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
3.3 You must notify us immediately at service@nook.support if you become aware of any unauthorized access to or use of your account.
3.4 We reserve the right to suspend or terminate accounts that contain false, misleading, or fraudulent information.
4 Description of Service
Nook is a community platform for outdoor enthusiasts, hikers, and adventurers.
4.1 The Service includes, among other features, a live compass tool, trail and gear recommendations, a community feed for sharing posts and photos, group hike creation and discovery, direct messaging, an AI-powered trail planning assistant, and a virtual currency system for premium features.
4.2 We may add, modify, suspend, or discontinue any feature of the Service at any time, with or without notice, at our sole discretion.
4.3 The Service is provided for informational and community purposes and is not a substitute for professional outdoor guidance, emergency services, or your own independent judgment regarding trail safety.
5 License to Use the Service
Subject to your compliance with these Terms, Nook grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the application for your personal, non-commercial use.
5.1 You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works based on the Service, except as expressly permitted by applicable law.
5.2 You may not use any automated system, including bots, scrapers, or crawlers, to access the Service without our prior written consent.
5.3 This license terminates automatically if you violate these Terms or if we discontinue the Service.
6 User-Generated Content and Community Standards
Nook allows users to post trail reports, photographs, gear reviews, event listings, comments, and other content ("User Content").
6.1 Your Responsibility. You are solely responsible for the User Content you post and for ensuring it does not violate these Terms, our Community Guidelines, or any applicable law.
6.2 License Grant. By posting User Content, you grant Nook a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, display, adapt, and distribute that content for the purpose of operating, promoting, and improving the Service.
6.3 Ownership. You retain all ownership rights in your User Content. Nook does not claim ownership over content you post.
6.4 Prohibited Content. You may not post content that is unlawful, defamatory, obscene, sexually explicit, threatening, harassing, hateful, fraudulent, or that infringes the intellectual property or privacy rights of others.
6.5 Content Moderation and Removal. We reserve the right, but not the obligation, to review, remove, or restrict access to any User Content that violates these Terms, at our sole discretion and without prior notice.
6.6 Copyright Infringement. If you believe content on Nook infringes your copyright, please submit a notice to service@nook.support including sufficient detail to identify the content and your rights. We will respond in accordance with applicable copyright law and may remove infringing content and terminate repeat infringers' accounts.
7 Community Guidelines and Prohibited Conduct
To maintain a safe and respectful community, you agree not to engage in the following conduct while using the Service:
7.1 Impersonating any person or entity, or misrepresenting your affiliation with any person or entity.
7.2 Harassing, bullying, stalking, threatening, or intimidating other users.
7.3 Posting spam, unauthorized advertising, or engaging in fraudulent solicitation of other users.
7.4 Uploading viruses, malware, or engaging in any activity that interferes with or disrupts the integrity or performance of the Service.
7.5 Attempting to gain unauthorized access to the Service, other users' accounts, or our systems and networks.
7.6 Using the Service to organize or promote unlawful, unsafe, or unauthorized activities, including trespassing on private or restricted land.
8 Group Hikes, Events, and Assumption of Risk
Nook allows users to create, discover, and join group hikes and outdoor events organized by other users.
8.1 Nook does not organize, supervise, or guarantee the safety of any group hike or event listed on the platform. All events are created and led by individual users, not by Nook.
8.2 Outdoor activities, including hiking, backpacking, and trail exploration, carry inherent risks, including but not limited to injury, exposure, adverse weather, wildlife encounters, and terrain hazards. You voluntarily assume all such risks when participating in any activity discovered through or organized on the Service.
8.3 You are solely responsible for evaluating your own fitness, skill level, and preparedness before joining any hike or event, and for exercising independent judgment regarding trail conditions and safety.
8.4 Nook is not liable for any injury, loss, or damage arising from your participation in any hike, event, or activity organized through the Service.
9 AI-Powered Features
Nook offers AI-powered tools, including an AI trail-planning assistant, that generate recommendations based on the information you provide.
9.1 AI-generated content, including trail suggestions, gear checklists, and condition reports, is provided for informational purposes only and may contain inaccuracies or outdated information.
9.2 You should independently verify trail conditions, weather, and safety information through official sources, such as local park or forest services, before undertaking any outdoor activity.
9.3 Nook disclaims all liability for decisions made or actions taken in reliance on AI-generated recommendations.
10 Virtual Currency, In-App Purchases and Payments
Nook offers optional paid features, including virtual currency ("Coins") that may be used to unlock premium AI trail-planning features and other in-app content.
10.1 Purchases. All purchases of Coins or other paid features are processed through the applicable app store's payment system, such as the Apple App Store, and are subject to that platform's terms and payment methods.
10.2 No Cash Value. Coins and other virtual items have no monetary value, cannot be exchanged for cash, transferred to other users, or redeemed outside the Service, and remain the property of Nook until consumed.
10.3 Pricing and Availability. We reserve the right to change the pricing, availability, or features associated with Coins or paid content at any time, with reasonable notice where required by law.
10.4 Account Termination. If your account is suspended or terminated for violation of these Terms, you may forfeit any unused Coins or paid features without compensation, to the extent permitted by applicable law.
11 Refund Policy
All purchases made through the Service are generally final and non-refundable, except as set out below or as required by applicable law.
11.1 Refund requests for purchases made through the Apple App Store must be submitted directly to Apple in accordance with Apple's refund policies, as Nook does not directly process payments made through the App Store.
11.2 If you believe you were charged in error or experienced a technical issue that prevented you from receiving purchased content, please contact us at service@nook.support and we will investigate in good faith.
11.3 Nook reserves the right, at its sole discretion, to deny refund requests that do not comply with this Policy or applicable law, including requests made after excessive use of purchased virtual items.
12 Intellectual Property Rights
The Service, including its design, features, graphics, trademarks, logos, and underlying software, is owned by Nook or its licensors and is protected by intellectual property laws.
12.1 Except for the limited license granted in Section 5, nothing in these Terms transfers any ownership rights in the Service to you.
12.2 The "Nook" name, logo, and related marks are trademarks of Nook and may not be used without our prior written permission.
12.3 Any feedback, suggestions, or ideas you submit regarding the Service may be used by Nook without restriction or compensation to you.
13 Third-Party Links and Services
The Service may contain links to third-party websites, services, or content that are not owned or controlled by Nook.
13.1 We are not responsible for the content, accuracy, or practices of any third-party websites or services, including those referenced in trail condition information or gear recommendations.
13.2 Your interactions with any third party accessed through the Service are solely between you and that third party, and are governed by that third party's own terms and policies.
14 Minors and Child Safety
Nook is not intended for use by anyone under the age of 18, and we take the safety of minors seriously even though the Service is not directed at them.
14.1 If we discover or are notified that an account belongs to a user under the age of 18, we will promptly suspend or terminate that account and delete associated personal information in accordance with our Privacy Policy.
Nook maintains an absolute zero-tolerance policy toward child sexual abuse material, child sexual exploitation, grooming, or any conduct that endangers minors. Any user found to engage in such conduct will have their account immediately and permanently terminated, and we will report such conduct to the National Center for Missing and Exploited Children and relevant law enforcement authorities, and will cooperate fully with any resulting investigation.
14.3 We encourage all users to immediately report suspected CSAE content or conduct through the in-app reporting tools or by emailing service@nook.support.
15 Termination and Suspension
We reserve the right to suspend or terminate your access to the Service, with or without notice, for any violation of these Terms or for any conduct that we determine, in our sole discretion, to be harmful to the Service, other users, or third parties.
15.1 You may terminate your account at any time by using the account deletion feature within the app or by contacting service@nook.support.
15.2 Upon termination, your right to use the Service will immediately cease, though certain provisions of these Terms, including intellectual property, disclaimers, limitation of liability, and dispute resolution provisions, will survive termination.
15.3 Termination does not entitle you to a refund of any purchased virtual currency or unused paid features, except as required by applicable law.
16 Disclaimers of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.
16.1 To the fullest extent permitted by applicable law, Nook disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.
16.2 Nook does not warrant that the Service will be uninterrupted, error-free, secure, or that trail, gear, weather, or AI-generated information will be accurate, complete, or reliable.
16.3 You acknowledge that outdoor activities involve inherent risk, and Nook does not warrant the safety of any trail, event, or activity referenced within the Service.
17 Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NOOK AND ITS OFFICERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
17.1 In no event shall Nook's total aggregate liability arising out of or relating to these Terms or the Service exceed the greater of one hundred United States dollars or the amount you paid to Nook in the twelve months preceding the claim.
17.2 Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you, in which case our liability will be limited to the maximum extent permitted by applicable law.
18 Indemnification
You agree to defend, indemnify, and hold harmless Nook and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your use of the Service, your User Content, your violation of these Terms, or your violation of any rights of a third party.
19 Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles, unless otherwise required by the mandatory consumer protection laws of your country of residence.
19.1 Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved informally by contacting us at service@nook.support.
19.2 If a dispute cannot be resolved informally within sixty days, either party may pursue formal resolution through the mechanisms described in Section 20, or through the courts of competent jurisdiction where informal resolution or arbitration is not applicable or enforceable under local law.
20 Arbitration Agreement and Class Action Waiver
Where permitted by applicable law, you and Nook agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved through binding individual arbitration, rather than in court, except that either party may bring an individual action in small claims court.
20.1 You and Nook agree to waive any right to a jury trial and to participate in a class action, class arbitration, or representative action to the fullest extent permitted by applicable law.
20.2 If you reside in a jurisdiction where mandatory arbitration of consumer disputes is not enforceable, this Section shall not apply to you, and disputes will instead be resolved in the competent courts of your jurisdiction of residence, in accordance with applicable mandatory consumer protection law.
21 Changes to the Service and These Terms
We may modify these Terms from time to time to reflect changes in our Service, legal requirements, or business practices.
21.1 If we make material changes, we will provide notice through the app, by email, or by other reasonable means prior to the changes taking effect.
21.2 Your continued use of the Service after the effective date of any updated Terms constitutes your acceptance of those changes. If you do not agree to the updated Terms, you must stop using the Service.
22 General Provisions
This section sets out additional terms applicable to your use of the Service.
22.1 Entire Agreement. These Terms, together with our Privacy Policy and any additional terms referenced herein, constitute the entire agreement between you and Nook regarding the Service and supersede any prior agreements.
22.2 Severability. If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
22.3 No Waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
22.4 Assignment. You may not assign or transfer these Terms or your account without our prior written consent. Nook may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.
22.5 Export Compliance. You agree to comply with all applicable export control and economic sanctions laws in connection with your use of the Service.
